Honey Solutions Limited – Terms and Conditions

  1. Client is referred to as “The Client”
  2. Honey Solutions Limited is referred to as “The Contractor”
  3. Term of Engagement
    This agreement is ongoing unless stated otherwise in a Project-specific proposal.
    Any changes to the agreement, including termination, require 60 days’ notice in writing from either party.
    Any amendment or modification of the Agreement or additional obligation by either Party in connection with this Agreement will only be binding if evidenced in writing and signed by each party or an authorised representative of each Party.
  4. Services
    The Contractor will provide services including, but not limited to :
    Marketing, PR, Website Design, Printing, Graphic design, Product sourcing and supply, Bookkeeping.
    The Contractor will use their endeavours to complete the work to the highest standards.
  5. Third Party Contact
    The Contractor has absolute discretion in the employment of Suppliers and Sub-Contractors used to complete any individual assignments for The Client. The Client will not make direct contact or approach The Contractor’s own Suppliers or Sub-Contractors without express permission granted by The Contractor.
  6. Remuneration
    Our pricing is tailor-made to each client and may consist of one or a combination of:
    • hourly / daily rates
    • fee-basis
    • commission.
    All rates will be discussed in full with The Client and agreed in writing.
    Ongoing marketing, consultancy and business support is billed monthly. Individual small and regular jobs are billed on completion. Longer projects are billed in stages as pre-agreed.
    Our payment terms for all work are 7 days from the invoice date.
    If there is a significant delay to the work or cancellation of the work, caused by The Client and/or The Client’s representatives, The Contractor reserves the right to invoice the work completed, or items ordered, to date.
  7. Intellectual Property Rights
    a) Each Party shall retain all rights, title and ownership of its own Intellectual Property.
    b) Photography. Copyright remains with the photographer and can not be used by a third party.
  8. Final Copy
    Whilst The Contractor will do all they can to ensure copy is accurate, it is the Client’s responsibility for final proof-reading of all copy. Final copy will be approved by The Client in writing. The client is responsible for ensuring that copy is legally compliant.
  9. Works Schedule
    The Contractor’s hours/days are flexible and may change depending on both The Client’s and The Contractor’s requirements. The deadlines for individual jobs will be agreed by both parties and The Contractor will work to complete all jobs within The Client’s required timescales.
    The Contractor will work from their own office and on The Client’s premises as and when required.
  10. Confidentiality
    The work undertaken by The Contractor on behalf of The Client will remain strictly confidential. All confidential or sensitive information will remain private and confidential even past the termination of this Agreement. The Contractor undertakes to only pass information on regarding The Client and any other persons related to the Client’s business, if it is deemed necessary for the completion of the assignment.
    Confidential information (the “Confidential Information”) refers to any data or information relating to the Client, whether business or personal, which would reasonably be considered to be private or proprietary to the Client and that is not generally known and where the release of that Confidential Information could reasonably be expected to cause harm to the Client.
    The Contractor agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any Confidential Information which the Contractor has obtained, except as authorised by The Client or as required by Law. The obligations of confidentiality will apply during the Term and will survive indefinitely upon termination of the Agreement.
    All written and oral information and material disclosed or provided by The Client to The Contractor under This Agreement is Confidential Information regardless of whether it was provided before or after the date of this Agreement or how it was provided to the Contractor.
  11. Capacity / Independent Contractor
    In providing the services under this Agreement it is expressly agreed that The Contractor is acting as an independent contractor and not as an employee.
